Whistleblowing Channel

On November 26, 2021, the Portuguese Parliament published Law No. 93/2021 of December 20, 2021, in the Official Gazette (Diário da República) n.º 244/2021, Series I of 2021-12-20, pages 3–15, which regulates the transposition of Directive (EU) 2019/1937 of the European Parliament and the Council of October 23, 2019, concerning the protection of individuals who report breaches of Union law. This established the Regime Geral de Proteção de Denunciantes de Infrações.

In compliance with Article 8, Chapter II, Section II, of Law No. 93/2021, Transmaia-Transportes Lda has established an internal whistleblowing channel.

To be admissible under Article 10, Chapter II, Section II, of Law No. 93/2021, all whistleblowing reports must be submitted through the internal whistleblowing channel operated by Transmaia. The channel is managed by the appointed Whistleblowing Officer, Mrs. Emiliana Maia. Reports may be submitted in writing.

Reports can be submitted electronically via the email address “canaldenuncias@transmaia.pt”.

If the whistleblowing report concerns the Whistleblowing Officer, reports must be sent to the email address “cristianamaia@transmaia.pt”. In such cases, the report will be escalated to the Board of Directors, which will appoint an appropriate person or service to handle the report. The investigation will proceed internally without the participation of the implicated individual. However, the implicated individual retains the right to respond (contradictory procedure) at the appropriate time.

The internal whistleblowing channel at Transmaia allows for the reporting of acts or omissions that contravene the law in the following areas:

  • Public procurement;
  • Financial services, products, and markets, including prevention of money laundering and terrorist financing;
  • Product safety and compliance;
  • Transport safety;
  • Environmental protection;
  • Radiation protection and nuclear safety;
  • Food safety for human and animal consumption;
  • Animal health and welfare;
  • Public health;
  • Consumer protection;
  • Privacy, personal data protection, and network/information system security;
  • Fraud and other illegal activities detrimental to financial interests;
  • Internal market rules, including competition, state aid, and corporate tax rules;
  • Violent crime, particularly severe and highly organized crimes;
  • Organized and economic-financial crime (e.g., corruption, undue receipt of advantage, economic participation in a business, embezzlement, influence peddling, and money laundering).
